Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Vixai STUDY, provided by VIXAI TECHNOLOGIES LTD (“Vixai”, “we”, “us”, “our”). By creating an account, accessing, or using the Service, you agree to these Terms.
1) Service Description & Intermediary Role
- Vixai STUDY is a SaaS assistant available on the web and via WhatsApp that processes user prompts and files using third-party AI providers to deliver study aids (summaries, quizzes, explanations), translations, and chat responses.
- Intermediary: We act solely as a technology intermediary that routes your inputs to selected third-party processors (e.g., AI, hosting, payments) and returns outputs. We do not endorse or assume responsibility for the content you submit or generate.
- You remain solely responsible for your use and for ensuring that your inputs and outputs comply with applicable laws and third-party terms (e.g., WhatsApp/Meta, OpenAI, Google, Stripe).
2) WhatsApp Use
- When you message us on WhatsApp, your messages/media are delivered via the WhatsApp Business Platform (Cloud API) to our servers for processing and response.
- Your use of WhatsApp is also governed by WhatsApp/Meta’s terms and policies. You are responsible for complying with Windows such as the 24-hour customer service window and any template requirements as applicable.
- You may stop at any time by not messaging us, blocking our number in WhatsApp, or contacting vixai@vixai.app.
3) Accounts & Security
- You must provide accurate account information and keep credentials secure. You are responsible for all activity under your account.
- Do not share credentials or allow unauthorized use. Notify us immediately of suspected compromise.
4) Acceptable Use Policy (AUP)
You agree not to use the Service for, or in connection with:
- Illegal or prohibited activities in any jurisdiction (US, EU/UK, Brazil, or elsewhere).
- Pornographic content, sexual content, sexual services, or any sexual content involving minors (zero tolerance).
- Child sexual abuse material (CSAM), exploitation, human trafficking, or harassment/abuse.
- Violence, threats, terrorism, incitement of harm, hate or extremist content.
- Infringement of intellectual property or privacy rights; doxing; unauthorized data scraping or surveillance.
- Malware, phishing, fraud, spam, or security testing without authorization.
- Routing, proxying, tunneling, resale or offering our Service “as a pipe” for third parties; attempting to disguise origination, circumvent rate limits, or subvert controls.
- Reverse engineering, interfering with or disrupting the Service or providers’ systems.
- Generating or disseminating content that violates third-party platform rules (e.g., WhatsApp/Meta, OpenAI, Google, Stripe).
Enforcement: We may suspend or terminate accounts, remove content, and cooperate with authorities where we reasonably suspect violations.
5) User Content & License
- You retain ownership of content you submit. You grant Vixai a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your content solely to operate and improve the Service.
- You represent that you have necessary rights and that your content does not violate law or third-party rights.
6) Subscriptions, Tokens, Billing & Refunds
- Plans: Paid subscriptions grant monthly usage allowances; a free plan may include a limited welcome balance.
- Extra tokens: May be purchased as advertised; unless stated otherwise in your offer, token purchases are final and do not expire.
- Renewals & cancellation: Subscriptions renew until canceled in your account portal. Access continues until the end of the paid term.
- Refunds: Fees are generally non-refundable except where required by law or explicitly stated.
- We may set or adjust fair-use limits, rate limits, and quotas to protect service quality.
7) Third-Party Services
The Service integrates third-party providers (e.g., OpenAI, Google, WhatsApp/Meta, Stripe, AWS). Your use may be subject to their terms. We do not control and are not responsible for their services. We may change providers at any time.
8) Availability, Changes & Support
- The Service is provided on an “AS IS” and “AS AVAILABLE” basis and may be modified, suspended, or discontinued without liability.
- We may release updates, new features, or remove features at our discretion.
- Support is provided on a commercially reasonable basis.
9) Disclaimers
- AI outputs can be inaccurate or inappropriate. You are responsible for reviewing and verifying outputs before use.
- We do not provide medical, legal, financial, or other professional advice.
10) Limitation of Liability
To the maximum extent permitted by law, Vixai will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption. Our aggregate liability for claims arising out of or relating to the Service shall not exceed the amounts paid by you to Vixai in the 12 months preceding the event giving rise to liability.
11) Indemnification
You will defend, indemnify, and hold harmless Vixai from claims, damages, liabilities, costs, and expenses arising from your content, your use of the Service, or your violation of these Terms or applicable law.
12) Termination & Suspension
- You may stop using the Service at any time and cancel your subscription in your account portal.
- We may suspend or terminate your access immediately for suspected violations, risk to the Service or others, non-payment, or legal requests.
13) Governing Law & Venue
These Terms are governed by the laws of England and Wales, excluding conflict-of-laws rules. Courts of England and Wales shall have exclusive jurisdiction. If you are a consumer in the EEA/UK or Brazil, mandatory local consumer protections remain unaffected.
14) Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app/WhatsApp notice. Continued use after changes constitutes acceptance.
